Terms of Service

Last updated: October 2026

These Terms of Service ("Terms") govern your access to and use of the Expora point-of-sale and back-office software, apps, and related services (together, the "Service"), provided by Expora Solutions ("Expora," "we," "us"). By creating an account, pairing a device, or otherwise using the Service, you agree to these Terms. If you are agreeing on behalf of a restaurant or other business, you represent that you are authorized to bind that business, and "you" refers to that business.

The Service

Expora provides software that helps restaurants run their operations — taking and routing orders, printing tickets and receipts, managing menus and inventory, producing reports, and connecting optional delivery, payment, and messaging integrations that you choose to enable. We may add, change, or remove features over time to improve the Service.

Accounts and staff

You are responsible for the accuracy of the information in your account, for creating and managing staff logins and roles, and for keeping login credentials and PINs confidential. You are responsible for all activity that occurs under your account and your staff's accounts. Notify us promptly if you believe an account has been compromised.

Your responsibilities

Payments and billing

Fees for the Service are set out in the order form, quote, or agreement between you and Expora. Unless stated otherwise, subscription fees are billed in advance on a recurring basis and are non-refundable except where required by law. We may change pricing on renewal with reasonable notice. You are responsible for any applicable taxes.

In-person card payments processed through a connected payment terminal are handled by that terminal and its payment processor under your agreement with them. Expora does not store card numbers and is not the merchant of record for those transactions.

Third-party integrations

The Service can connect to third-party services you choose — for example delivery marketplaces, payment processors, and messaging providers. Your use of those services is governed by their own terms, and Expora is not responsible for the availability, accuracy, or actions of third-party services. If a third party changes or discontinues its service, some features may stop working.

Your data

As between you and Expora, the operational data you create in the Service (such as orders, menus, inventory, and reports) belongs to you. You grant us the limited right to process that data in order to provide and operate the Service. Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms. You are responsible for exporting or retaining any data you need before your account is closed.

Intellectual property

Expora and its licensors own all rights in the Service, including the software, design, and trademarks. These Terms do not grant you any right to our intellectual property except the limited, non-exclusive, non-transferable right to use the Service while your account is active and in good standing.

Availability

We work to keep the Service reliable, but it is provided on an "as is" and "as available" basis. We may perform maintenance, and the Service may occasionally be unavailable. The Service depends on internet connectivity and third-party infrastructure that we do not control.

Disclaimers

To the fullest extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every requirement of your business.

Limitation of liability

To the fullest extent permitted by law, Expora will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid to Expora for the Service in the twelve months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold Expora harmless from claims, losses, and expenses arising out of your use of the Service, your data, or your violation of these Terms or applicable law.

Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees when due, or use the Service in a way that risks harm to Expora, other customers, or third parties. On termination, your right to use the Service ends; sections that by their nature should survive (such as payment obligations, disclaimers, and limitation of liability) will survive.

Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above, and your continued use of the Service after a change means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the Province of New Brunswick and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in New Brunswick will have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any court of competent jurisdiction.
